Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Aura platform, including the advertising, content-management and viewer-facing services we provide (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms.

1. The Service

Aura provides tools for publishers to manage and distribute content, for advertisers to plan and run campaigns, and for organisations to administer their accounts, members and roles. We may add, change or remove features from time to time to improve the Service.

2. Accounts and eligibility

You must provide accurate information when creating an account and keep it up to date. You are responsible for the activity that happens under your account and for keeping your credentials secure. Access to features is governed by the role granted to you within your organisation. Notify us promptly of any unauthorised use of your account.

3. Acceptable use

When using the Service you agree not to:

  • break any applicable law, or infringe anyone's rights;
  • upload content that is unlawful, misleading, or that you do not have the right to use;
  • attempt to gain unauthorised access to the Service, other accounts, or our systems;
  • interfere with, disrupt, or place undue load on the Service; or
  • use the Service to distribute malware, spam, or fraudulent advertising.

4. Content and intellectual property

You retain ownership of the content, creatives and data you provide ("Your Content"). You grant us a limited licence to host, process and display Your Content solely to operate and improve the Service. You are responsible for Your Content and for having the necessary rights and consents. The Service itself, including its software, design and trademarks, remains our property or that of our licensors.

5. Advertising

Advertisers are responsible for their campaigns, creatives, targeting and compliance with applicable advertising laws and standards. Publishers control the inventory they make available. We may review, reject or remove advertising that breaches these Terms or our policies, and reported metrics (such as impressions, clicks and reach) are provided on a best-efforts basis.

6. Fees and payment

Where the Service is offered for a fee, the applicable charges, billing period and payment terms will be set out in your order or account. Fees are stated exclusive of taxes unless indicated otherwise. Late or failed payments may result in suspension of paid features.

7. Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. You are responsible for providing any notices and obtaining any consents required for the data you supply to the Service.

8. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Service or its users. On termination, your right to use the Service ends; provisions that by their nature should survive (such as ownership, disclaimers and liability limits) will continue to apply.

9. Disclaimers

The Service is provided "as is" and "as available". To the extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure.

10. Limitation of liability

To the extent permitted by law, we will not be liable for any indirect, incidental, special or consequential damages, or for loss of profits, revenue, data or goodwill. Our total liability arising out of or relating to the Service is limited to the amounts you paid to us for the Service in the twelve months before the event giving rise to the claim.

11. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of the Republic of South Africa, and the courts of South Africa will have jurisdiction over any dispute, without limiting any mandatory consumer protections available to you.
